On December 17, 2025, we completed the disposition of our direct equity interest in Sapiens in connection with Sapiens’ acquisition by Advent, a leading global private equity investor, in an all-cash transaction valued at $43.50 per common share. As part of the transaction, we sold a portion of our holdings (our controlling power in Sapiens) for aggregate cash consideration of approximately $757.7 million, while retaining a significant minority ownership interest through a rollover into the new ownership structure, resulting in an indirect equity stake of approximately 18.68% in SI Swan, the ultimate parent company of Sapiens following the transaction. Retaining this meaningful minority position reflects our continued conviction in Sapiens’ long-term strategy, its talented team, and the opportunities ahead in partnership with Advent to accelerate the transition to AI and SaaS and deliver the next generation of insurance solutions for Sapiens’ customers.
